Terms and conditions of sale and delivery for services

Application

These General Terms of Sale and Delivery (“Terms”) apply to all agreements between Conscious Conveniences (ClimateScore), CVR number 40713395, (“Company”), and business customers related to sales and delivery of climate tools on climatescore.io and klimascore.com in the hotel and tourism industry.

Basis for contract

  • Agreement Basis: These conditions, along with the Company’s offers and order confirmations, constitute the entire contractual basis for the Company’s sales and delivery of services to the customer.
  • Changes and Additions: Changes and additions to the Agreement Basis are valid only if agreed upon in writing.
  • Legal Status: Each party must promptly notify the other if there is a change in its legal status.

Services

  • Standard: The services sold and delivered by the Company are described under each tool at climatescore.io and Klimascore.com.
  • Subscription Service: Services specified as a subscription are automatically renewed annually.
  • Customer’s Involvement: The Customer must provide access to personnel and information necessary for service performance. The Customer is responsible for the accuracy and completeness of submitted information.
  • Legislation and Standards: The Company is not responsible for whether the services meet legislation or standards, unless otherwise agreed in writing.

Price and payment

  • Price: The price for services follows the Company’s current price list unless otherwise agreed in writing. Prices are exclusive of VAT.
  • Discounts: Campaign-related discounts are considered introductory and may be waived after the first year unless agreed otherwise.
  • Payment: Payments are made in advance annually, with a +14 days payment term from the invoice date.

Cost saving promise

The Company promises to identify cost savings of a minimum of 3,000 euros for the individual hotel. If not achieved, the individual hotel receives 3,000 euros in return. This promise is valid only for the first year of recommendations. The promise is valid in the products which it is included.

Cancellation

Either party may terminate the agreement with a 3-month notice period valid from the end of the current month.

Delayed payment

  • Interest: If the customer fails to pay on time, the Company is entitled to 1% interest per month.
  • Repeal: In case of overdue payment, the Company may cancel services, demand advance payment, or assert other default rights.

Offers, orders, and order confirmations

  • Offer Validity: The Company’s offer is valid for 10 days unless stated otherwise.
  • Order Submission: Orders are submitted in writing using the purchase button on climatescore.io or klimascore.com.
  • Order Confirmations: The Company aims to confirm or reject orders in writing within 14 working days.

Delivery

  • Delivery Time: The Company delivers according to the agreed schedule, initiating the order upon payment receipt.
  • Delayed Delivery: The Company informs the customer of any expected delays.
  • Amendment of orders: The customer cannot modify a placed order for services without the written approval of the Company.

Intellectual property

  • Property Rights: Full ownership of intellectual property rights belongs to the Company.
  • License: The customer has an indefinite, transferable license for intellectual property rights.

Confidentiality

  • Disclosure and use. The customer may not disclose, use, or enable others to use the Company’s trade secrets or any other information, of any nature, that is not publicly available, without the written consent of the Company.
  • Data Handling: All data received by the customer is treated confidentially and is not disclosed to third parties. The data is handled and stored securely by the Company. The data will be included in the Company’s further analysis of the industry and the development of models related to the Company’s activities. The calculated climate score and the associated CO2 figures belong to the Company and may be disclosed to third parties. The calculated climate score can be published on climatescore.io.
  • Protection. The customer may not, in an unfair manner, obtain or attempt to obtain knowledge or access to the Company’s confidential information. The customer must handle and store the information securely to prevent its inadvertent disclosure to others.
  • Duration. The obligations of the parties apply during the collaboration between the parties and without time limitation after the termination of the collaboration, regardless of the reason for termination.

Processing of personal relevant information

  • Treatment: The Company processes personal data in accordance with Data Protection Regulation and Act.
  • Rights of the Data Subject: The Company complies with the data subject’s rights.
  • Storage and Disclosure: Information is retained as long as necessary and not transferred to third parties without consent.

Default and bankruptcy

  • Violation: The non-defaulting party may make claims in accordance with Danish law.
  • Bankruptcy: A party may terminate the agreement if the other party is declared bankrupt.

Applicable law and jurisdiction

  • Current Law: The cooperation is subject to Danish law.
  • Jurisdiction: Any dispute must be decided by a Danish court
